We may hold a reserve from your disbursements to cover potential chargebacks, refunds, or other liabilities. Reserve terms will be communicated to you and may be adjusted based on risk assessment.
We reserve the right to modify our fees with 30 days' prior written notice. Continued use of our services after fee changes take effect constitutes acceptance of the new fees.

All content, trademarks, logos, software, and materials on our website and platform are owned by Up1Pay LLC or its licensors and are protected by intellectual property laws. You grant Up1Pay a non-exclusive, worldwide, royalty-free license to use your company name, logo, and trademarks solely for the purpose of providing our services and, with your consent, for marketing purposes.
We process personal data in accordance with our Privacy Policy and applicable data protection laws. By using our services, you acknowledge and agree to the data processing practices described in our Privacy Policy.
You represent and warrant that you have obtained all necessary consents from your customers for us to process their personal data as part of our services.

These Terms remain in effect as long as you maintain an account with Up1Pay or use our services.
You may terminate your account at any time by providing 30 days' written notice to Up1Pay. You remain responsible for all fees and obligations incurred prior to termination.
We may suspend or terminate your account at any time, with or without cause, upon written notice. We may terminate immediately without notice if you breach these Terms or engage in prohibited activities.
Upon termination: (a) your access to the platform will be revoked; (b) any outstanding disbursements will be processed according to the regular schedule, less applicable fees, reserves, and chargebacks; (c) we may retain reserves for up to 180 days following termination to cover potential chargebacks and refunds.
These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in Macomb County, Michigan. Each party shall bear its own costs and attorneys' fees.
We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or through our platform. Continued use of our services after changes take effect constitutes acceptance of the modified Terms.
